1. Agreement
These Terms and Conditions ("Terms") are an agreement between you and Elefair International Inc., doing business as Elefair Tech ("Elefair Tech", "we", "us" or "our"). They apply to our website at www.elefairtech.com, our Chrome extensions, Facebook and Meta apps, desktop and web software, and related services (together, the "Services").
By buying, installing, accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for a company, you confirm you have authority to accept these Terms for that company. If you do not agree, do not use the Services.
2. Who can use our services
You must be at least 18 years old, or the age of majority where you live, to buy a license. Schools and organizations may let younger users use products such as Elefair Classroom under their supervision and are responsible for that use.
3. Accounts and license keys
Some products need an account or a license key. Keep your login details and license keys confidential. You are responsible for all activity under your account or key. Tell us right away at info@elefairtech.com if you think someone is using them without permission.
4. License grant
Our software is licensed, not sold. When you pay for a license, and as long as you follow these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the software for your own business or personal purposes, on the number of computers, browsers or stores stated in your order.
Licenses may be lifetime, yearly or monthly, as stated in your order. A subscription license ends when the paid period ends unless it is renewed.
5. Restrictions
Unless we agree in writing, you must not:
- Copy, resell, rent, sublicense or share the software or your license key
- Use one license on more computers, browsers or stores than you paid for
- Reverse engineer, decompile or disassemble the software, except where the law allows it despite this restriction
- Remove or bypass license checks, copy protection or proprietary notices
- Use the software to build a competing product
6. Orders, pricing and payment
Prices are shown on our website or in a written quote and are in US dollars unless stated otherwise. Taxes are added where required. Payment is processed by third-party payment providers, and you agree to their terms when you pay.
We deliver your license key and download link by email after payment is confirmed. Subscription licenses renew automatically at the end of each period unless you cancel before the renewal date. You can cancel at any time by emailing us, and cancellation takes effect at the end of the current paid period.
7. Refunds
If a product does not work as described and we cannot fix the problem, you can request a full refund within 14 days of your first purchase. Email info@elefairtech.com with your order details and a description of the problem.
- Renewals of subscription licenses are not refundable after the renewal date, except where the law requires.
- Custom development and setup services are not refundable once work has started, except as stated in the project agreement.
- When a refund is issued, your license is deactivated and you must uninstall the software.
Nothing in this section limits rights you have under consumer protection laws where you live.
8. Updates and support
We may release updates that fix bugs, improve security or add features. Some updates install automatically, as with Chrome extensions. Active licenses include support by email and phone during normal business hours. We may change or remove features when a connected platform changes its rules or API, and we will try to give notice of major changes.
9. Third-party platforms
Many of our products work with services we do not own or control, such as Google Chrome, Shopify, Amazon, eBay, Facebook, Instagram and other Meta services. Your use of those services is governed by their own terms and policies.
- You are responsible for following the rules of each platform you connect, including listing, advertising, intellectual property and messaging rules.
- Tools such as VeRO Checker help you find potential problems but do not guarantee that your listings comply with any platform's rules or with trademark law.
- We are not responsible if a third-party platform changes its API, suspends your account or stops a feature from working.
Elefair Tech is not affiliated with, endorsed by or sponsored by Google, Meta, Shopify, Amazon or eBay.
10. Your content and data
You keep ownership of everything you create or process with our software, including product listings, photos, videos, contact lists and messages ("Your Content"). You give us permission to handle Your Content only as needed to provide the Services to you. How we handle personal information is explained in our Privacy Policy, and you can request deletion on our User Data Deletion page.
You confirm that you have the rights and permissions needed for Your Content, including permission to contact every person you message using our software.
11. Acceptable use
You must not use the Services to:
- Send spam or messages to people who have not agreed to receive them, or break anti-spam laws such as CAN-SPAM, the TCPA or GDPR
- Copy or sell products that infringe trademarks, copyrights or other rights
- Monitor people without the notice or consent the law requires
- Upload malware, attack our systems or interfere with other users
- Break any law or the rules of any connected platform
12. Intellectual property
The software, website, designs, logos and the names Elefair Tech, Elefair FXP, Elefair Studio, Elefair Classroom and our other product names belong to Elefair International Inc. and are protected by law. These Terms do not give you any rights to them except the license in section 4. If you send us suggestions, we may use them without obligation to you.
13. Custom development work
When we build software, extensions, apps or servers for you, the scope, price, timeline and ownership of the work are set out in a written quote or project agreement. If that agreement conflicts with these Terms, the agreement applies for that project.
14. Disclaimer of warranties
Except as stated in section 7, the Services are provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be error-free or uninterrupted, or that results from using them, such as sales, search rankings or account standing on a platform, will meet your expectations.
15. Limitation of liability
To the fullest extent allowed by law, Elefair Tech will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, even if we were told they were possible.
Our total liability for any claim relating to the Services is limited to the amount you paid us for the product involved in the 12 months before the claim. Some places do not allow these limits, so they may not apply to you.
16. Indemnification
You agree to defend and compensate Elefair Tech for claims, losses and costs, including reasonable legal fees, that result from your breach of these Terms, Your Content, or your use of the Services in violation of the law or of a third party's rights.
17. Suspension and termination
You can stop using the Services at any time. We may suspend or end your license if you seriously or repeatedly break these Terms, fail to pay, or use the Services in a way that could harm others. Where reasonable, we will warn you first. Sections 5 and 10 through 18 remain in effect after termination.
18. Governing law and disputes
These Terms are governed by the laws of the State of New York, USA, without regard to its conflict of law rules. Before starting a formal dispute, please contact us so we can try to resolve it informally within 30 days. Any dispute that is not resolved will be brought in the state or federal courts located in New York County, New York, and both parties agree to their jurisdiction. If you are a consumer, you keep any rights to bring claims in your local courts that the law gives you.
19. Changes to these terms
We may update these Terms from time to time. We will change the "Last updated" date above and notify customers by email or in the product before significant changes take effect. If you keep using the Services after changes take effect, you accept the updated Terms.
